1. Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

• Account: A unique account created for You to access our Service or parts of our Service.
• Company: (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to THE Florida Trade Lab.
• Country: Florida, United States of America.
• Device: Any device that can access the Service such as a computer, a cellphone or a digital tablet.
• Feedback: Feedback, innovations, or suggestions sent by You regarding the attributes, performance or features of our Service.
• Goods: The items or educational programs offered for sale on the Service.
• Orders: A request by You to purchase Goods from Us.
• Terms and Conditions: (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

• You: The individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

2. Acknowledgement

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service. Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Please read Our Privacy Policy carefully before using Our Service.

3. SMS Messaging & Communication

This campaign is used to send appointment confirmations and links, account information, product information, marketing messages, help requests, webchat widget responses, plus opt-in and opt-out confirmations.

You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

If you experience issues with the messaging program, reply with the keyword HELP for more assistance. Carriers are not liable for delayed or undelivered messages. Message and data rates may apply. 4. Placing Orders & Your Information

By placing an Order for Goods through the Service, You warrant that You are legally capable of entering into binding contracts.

If You wish to place an Order, You may be asked to supply certain information relevant to Your Order including, without limitation, Your name, email, phone number, credit card number, the expiration date of Your credit card, billing address, and shipping information.

You represent and warrant that: (i) You have the legal right to use any payment method(s) in connection with any Order; and that (ii) the information You supply to us is true, correct and complete. By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your Order.

5. Payment, Financing, and Prices

Participant is solely responsible for payment of any and all fees and costs associated with the Enrollment Agreement, these Terms, and Participant’s enrollment in THE Florida Trade Lab program(s) (collectively, the “Fees”).

THE Florida Trade Lab may, in its sole discretion and without any further obligation arising therefrom, refer participants to a third-party financing lender. In the event Participant elects to use third-party financing, Participant hereby acknowledges and agrees that THE Florida Trade Lab is not responsible for collections of Fees, and that the relationship created between Participant and a third-party lender is separate and apart from Participant’s relationship with THE Florida Trade Lab. Participant’s liability for the repayment of Fees financed by third-party lenders, and any interest charged, collection efforts, or penalties on defaults are strictly limited to Participant’s relationship with the third-party lender.

The Company reserves the right to revise its prices at any time prior to accepting an Order.

6. Refund Policy

Upon the receipt of written notice in accordance with the enrollment agreement, THE Florida Trade Lab will provide a refund within the timeframe allotted for in the enrollment agreement; provided the program(s) purchased has not been otherwise accessed or attended.

Participant understands that once programs(s) have been accessed, all agreed payments are owed. No other refunds will be issued, unless otherwise determined in the sole discretion of THE Florida Trade Lab.

7. Intellectual Property & Code of Conduct

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws.

Recording Prohibition: I acknowledge that I may not initiate recording(s) of any kind during any THE Florida Trade Lab programming. I acknowledge THE Florida Trade Lab may terminate my enrollment in the program at any time in its sole discretion if it determines I have violated any of the Terms.

You assign all rights, title and interest in any Feedback You provide the Company. You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

8. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

Neither the Company nor any provider makes any representation or warranty of any kind: (i) as to the operation or availability of the Service; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy or reliability of any information; or (iv) that the Service, its servers, or e-mails sent on behalf of the Company are free of viruses, scripts, malware, or other harmful components.

9. Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything.

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, business interruption, or personal injury) arising out of or in any way related to the use of or inability to use the Service.

10. Governing Law & Dispute Resolution

This Agreement shall be construed, and the respective rights and duties of Participant and THE Florida Trade Lab shall be determined, according to the laws of the State of Florida, without giving effect to its principles of conflicts of laws.

MANDATORY ARBITRATION & CLASS ACTION WAIVER: Participant agrees, to the extent permitted by applicable law, to waive any right to trial by jury. Participant hereby agrees that any dispute, controversy, or claim arising out of or relating to the program or the Enrollment Agreement shall be submitted to mandatory final and binding arbitration before the American Arbitration Association in the State of Florida, United States of America in accordance with its Commercial Arbitration Rules. Participant waives the right to arbitrate any Dispute as a class action. Class arbitration and the consolidation of claims are expressly prohibited.

11. Severability, Waiver, and Changes

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms.
